1. Commercial Supply & Governance Agreement

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an enterprise entity ("Buyer", "Client", or "You"), and Vigo Technologies, Inc., operating commercially as Vue Smart Glasses ("Vue", "Company", "We", "Us", or "Our"). This agreement governs your access to and use of our web platforms, mobile application infrastructure, commercial wholesale order channels, and open-ear smart eyewear hardware systems.

By purchasing, sourcing, or accessing Vue Smart Glasses products or related digital services, you confirm that you have evaluated, understood, and agreed to adhere to all terms specified herein. If you are accepting these terms on behalf of a distributor, corporate customer, or optical healthcare provider, you represent that you possess full legal authority to bind that entity to these conditions.

2. Intellectual Property & Patent Protection

Unless explicitly indicated otherwise, all acoustic chamber designs, frame architectures, printed circuit board assembly (PCBA) layouts, directional speaker horn geometries, embedded firmware code, mobile applications, software algorithms, graphic designs, audio files, trademarked marks, and brand assets are the exclusive intellectual property of Vigo Technologies, Inc. and are protected under international patent, copyright, trademark, and trade secret laws.

2.1 Restricted Use of Technical Assets

No portion of Vue's technology, product documentation, circuit design, or physical component layout may be copied, reverse engineered, decompiled, disassembled, re-branded, or redistributed for secondary commercial exploitation without prior written authorization signed by an executive officer of Vigo Technologies, Inc.

2.2 Commercial Resale & Distribution Rights

Authorized international distributors, retail partners, and optical channels are granted a non-exclusive, non-transferable, revocable license to utilize official product images, technical specification sheets, and marketing assets strictly for the display, sale, and customer service support of authentic Vue Smart Glasses products.

3. Prescription Lenses & Optical Verification Policy

Vue Smart Glasses are designed as everyday optical-grade eyewear compatible with custom prescription (Rx), progressive, photochromic, polarized, and blue-light filtering lenses. When placing prescription orders, buyers must comply with global optical compliance guidelines.

4. B2B & B2C Purchasing, Pricing & Payment Terms

We strive to display precise technical specifications, unit pricing, order lead times, and hardware configurations across all official documentation. However, commercial prices, bulk tier discount schedules, and component allocations remain subject to adjustment prior to final invoice issuance.

4.1 Payment Instruments & Currency Standard

All transactions, wholesale invoices, and custom optical orders are processed in United States Dollars ($ USD) unless otherwise agreed under formal enterprise distribution contracts. Payment must be cleared prior to production scheduling or order dispatch.

4.2 Custom Duties, Freight & Taxes

For international supply orders, buyers are responsible for all applicable import tariffs, customs duties, value-added taxes (VAT), and regional clearance fees levied by destination customs authorities, unless explicit DDP (Delivered Duty Paid) terms are executed in writing.

5. Warranty, Returns & Hardware Replacement Policy

Vue Smart Glasses hardware products are backed by a standardized commercial limited warranty to ensure reliable operation across corporate and personal applications.

5.1 One-Year Limited Electronics Warranty

Vigo Technologies, Inc. warrants that the electronic components (including directional acoustic transducers, microphones, Bluetooth microcontrollers, capacitive touch sensors, battery cells, and magnetic charging modules) shall be free from manufacturing defects in material and workmanship for a period of one (1) year from the date of delivery.

5.2 Warranty Exclusions

The standard hardware warranty does not cover issues resulting from:

• Liquid immersion beyond the certified IPX5 water resistance rating (e.g., swimming, submerging in water).
• Physical impact, frame cracking caused by excessive bending force, or uncertified third-party optical modifications.
• Unauthorized disassembly, soldering, firmware modification, or use of non-compliant charging power adapters exceeding 5V standard input.
• Normal cosmetic wear, lens scratching after receipt, or chemical damage caused by harsh solvents.

5.3 Commercial Return Windows

Unused non-prescription items in original, undamaged packaging may be returned within 7 days of delivery subject to our standard restocking process. Custom prescription lenses are optical items glazed to unique wearer specifications and are non-refundable once cut, except in cases of manufacturing lens defect.

6. Prohibited Activities & System Integrity

Users and commercial partners agree not to engage in any activity that undermines the operational security or intellectual property of Vue Smart Glasses, including:

• Decompiling or extracting embedded Bluetooth firmware code, acoustic equalization curves, or touch control logic.
• Using automated bots, data mining scrapers, or network interference tools on Vue online infrastructure.
• Misrepresenting corporate identity or attempting fraudulent wholesale orders under unauthorized reseller titles.
• Deploying modified companion application packages that bypass official firmware security checks.

7. Limitation of Liability & Legal Jurisdiction

To the maximum extent permitted by applicable law, Vigo Technologies, Inc. and its directors, officers, employees, and supply chain partners shall not be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of business profit, operational downtime, or data corruption) arising out of the use or inability to use our smart eyewear products or software applications.

These Terms of Service and any commercial supply disputes shall be governed by and construed in accordance with the laws of the State of California, United States, without giving effect to conflict of law principles. Any legal action or arbitration proceeding shall be conducted exclusively within federal or state courts located in San Francisco County, California.
