1. Agreement & Binding Governance

These Terms of Service constitute a legally binding agreement between you—whether individually, on behalf of an optical enterprise, or as a commercial procurement buyer—and Vigo Technologies, Inc. (operating as Vue Smart Glasses). By accessing our digital infrastructure, executing wholesale sample orders, or finalizing commercial purchasing contracts, you confirm that you have reviewed, understood, and agreed to adhere to these operating standards.

If you represent a corporate body, retail chain, or distributor, you guarantee that you hold the legal authority to bind such entity to these commercial terms.

2. Intellectual Property & Patent Protection

All hardware engineering schematics, open-ear directional acoustic housing designs, touch-capacitive control algorithms, firmware, software codebases, brand trademarks, and proprietary media contained within the Vue Smart Glasses platform are the exclusive intellectual property of Vigo Technologies, Inc. Protected by international patent laws, trademark conventions, and copyright treaties, no part of our hardware architecture or technical documentation may be reproduced, reverse-engineered, or modified for unauthorized third-party commercial exploitation without prior express written approval.

3. Prescription Optics & Verification Standards

Vue Smart Glasses are engineered as precision medical-grade optical chassis capable of hosting single-vision, progressive, blue-light blocking, and polarized prescription lenses. To maintain optical accuracy and regulatory compliance:

• Prescription Validity: You certify that all optical metrics provided (including Sphere, Cylinder, Axis, Addition, and Pupillary Distance) reflect an authentic, unexpired prescription issued by a licensed eye care professional.
• Verification Rights: We reserve the right to contact the issuing optical practitioner or verify original prescription documentation prior to custom lens edging and assembly.
• Lens Edging Tolerances: Custom lenses are surfaced and edged to exact structural curvature parameters required by Vue frames to keep acoustic drivers aligned with the ear canal. We accept no liability for visual strain resulting from inaccurate customer-supplied data.

4. Commercial Pricing, Quotations & Payment

All standard product listings, bulk quotations, and proforma invoices are executed in United States Dollars (USD) unless explicitly designated otherwise in a formal written purchase agreement.

• Order Confirmation: Order placement does not constitute final binding acceptance. We reserve the right to adjust batch production schedules, verify customer credentials, or restrict volume quantities based on inventory allocations.
• Duties, Taxes & International Shipping: For international business shipments, import duties, Value-Added Tax (VAT), local customs clearance fees, and regional regulatory filings are the sole responsibility of the buyer or importing entity.
• Payment Settlement: Custom lens fabrication and physical order dispatch will proceed only after full payment clearance through verified banking channels or authorized credit processors.

5. Quality Assurance, Warranty & Return RMA

Vue hardware undergoes rigorous quality assurance inspections for electronic integrity, micro-speaker calibration, microphone noise cancellation, and structural frame resilience. All original Vue smart glasses carry a 1-Year Commercial Warranty covering manufacturing defects in electronic modules, touch sensors, and charging hardware starting from the verified delivery date.

Defective units require a formal Return Merchandise Authorization (RMA) issued by our technical support department. Unaltered standard stock items may be returned within our published inspection window, whereas custom-edged prescription lenses are non-refundable once surfaced, except in cases of verified manufacturing defect.

6. Operating Safety & IPX5 Compliance

Vue smart eyewear carries an IPX5 water-resistance certification, providing protection against sweat, rain, and water splashes during typical commuting, running, or outdoor operational tasks. Frames are not designed for aquatic submersion or swimming. Users must observe local traffic safety laws prohibiting ear-sealing headphones; Vue directional micro-speakers are designed to maintain situational awareness when operated at compliant volume thresholds.

7. Limitation of Liability & Jurisdiction

In no event shall Vigo Technologies, Inc., its directors, officers, or engineering partners be held liable for indirect, incidental, or consequential damages arising from improper hardware usage, unauthorized frame modification, or failure to follow optical care guidelines. These Terms of Service are governed by and construed in accordance with the laws of the State of California, United States, without giving effect to conflict-of-law principles.
